These Terms of Service constitute a legally binding agreement between you and Fred David International U.S.A., Inc., doing business as Strongsize ("Strongsize", "we", "us", or "our"), governing your access to and use of strongsize.com (the "Site"). By accessing the Site, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Site immediately.

Our Site is hosted on Shopify Inc. Shopify powers our storefront and checkout infrastructure. Use of the Site is also subject to Shopify's terms of service and privacy policy where applicable.

We may update these Terms at any time. Changes take effect when posted, indicated by the updated date above. Your continued use of the Site after any update constitutes acceptance of the revised Terms.

Eligibility

The Site is intended for users who are 18 years of age or older. Minors may only use the Site with the direct supervision and consent of a parent or legal guardian, who agrees to be bound by these Terms on the minor's behalf.

The Site is operated from the United States. We make no representation that the Site is appropriate or available in other locations. If you access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with applicable local laws.

Intellectual Property

All content on the Site, including text, images, graphics, logos, software, and trademarks (collectively, the "Content"), is the property of Strongsize or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, sell, or otherwise exploit any Content for commercial purposes without our prior written permission.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site and download or print Content solely for your personal, non-commercial use.

User Accounts

You may be required to create an account to access certain features of the Site. You agree to provide accurate, current, and complete information, and to keep your account information updated. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. We reserve the right to remove or reclaim usernames we determine to be inappropriate or objectionable.

If you provide information that is untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account and refuse future access to the Site.

Products and Pricing

We make reasonable efforts to display product colors, features, and specifications accurately on the Site. However, we cannot guarantee that your device's display accurately reflects actual product colors or details. All products are subject to availability. We reserve the right to discontinue any product or change prices at any time without notice.

Purchases and Payment

We accept the following payment methods:

All purchases are in U.S. dollars. Applicable sales tax will be added at checkout. By placing an order, you authorize us to charge your selected payment method for the total amount including any applicable shipping fees.

You agree to provide current, complete, and accurate billing and account information. We reserve the right to refuse or cancel any order at our discretion, including orders that appear to be placed by resellers or distributors, or that exceed reasonable purchase quantities per customer.

Returns and Exchanges

We accept returns and exchanges within 30 days of the ship date, provided items are in resellable condition: unworn (except for trying on), unwashed, unaltered, and returned in original packaging. If you receive a defective item, please contact us before returning it.

We offer complimentary size exchanges and free returns for store credit. For cash refunds, an $8 return fee applies.

The following items cannot be returned or exchanged:

Clearance and sale items
Gift cards
Bundled items sold at a discounted rate (e.g. "2 for $50"), unless the entire bundle is returned
Items marked "Non-Returnable" on the product page
Items that have been worn, washed, altered, or returned without original packaging

Prohibited Activities

You agree not to use the Site for any purpose other than its intended use as a retail shopping destination. Specifically, you agree not to:

Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
Collect or harvest user data, including email addresses, through automated or unauthorized means
Use automated systems, bots, scrapers, or scripts to access, extract, or interact with the Site
Circumvent, disable, or interfere with security features of the Site
Attempt to gain unauthorized access to any part of the Site or its related systems
Transmit viruses, malware, or other harmful code
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Use the Site to advertise or offer goods or services without our express written consent
Use the Site or its content for any commercial purpose or competitive endeavor without our written permission
Harass, threaten, or harm any other user or Strongsize employee
Frame or link to the Site in an unauthorized manner
Delete or alter any proprietary rights notices from Site content

User Feedback and Submissions

If you submit feedback, suggestions, or ideas about the Site or our products, you grant us a non-exclusive, royalty-free license to use that feedback for any purpose. We do not claim ownership of your feedback, and you retain any underlying intellectual property rights you hold. We are not obligated to act on or compensate you for any feedback you provide.

Third-Party Websites and Content

The Site may contain links to third-party websites. These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, accuracy, or practices of any third-party website. If you navigate to a third-party site, you do so at your own risk and that site's own terms and privacy policy will apply.

Site Management and Availability

We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice. We may also restrict access to certain areas of the Site or the Site in its entirety at our discretion. We are not liable for any loss or inconvenience resulting from downtime, modifications, or discontinuation of the Site or any features thereof.

Term and Termination

These Terms remain in effect for as long as you use the Site. We reserve the right to deny access to the Site, suspend or terminate your account, and take appropriate legal action, at our sole discretion and without notice, for any violation of these Terms or applicable law. If your account is terminated, you may not register a new account without our express permission.

Disclaimer of Warranties

The Site is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by law, Strongsize and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site. In all cases, our total liability to you for any claim arising from use of the Site will not exceed the greater of the amount you paid to us in the six months preceding the claim or $100 USD. Some jurisdictions do not allow certain limitations of liability, so the above may not apply to you in full.

Indemnification

You agree to defend, indemnify, and hold harmless Strongsize and its affiliates, officers, agents, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (1) your use of the Site; (2) your breach of these Terms; (3) your violation of any third party's rights; or (4) any harmful act you take toward another user of the Site.

Electronic Communications

By using the Site, you consent to receiving electronic communications from us, including via email and on-site notices. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction in those courts.

Dispute Resolution

Informal negotiations: Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute informally by written notice, allowing at least 30 days for good-faith negotiation.

Binding arbitration: If informal resolution fails, disputes will be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), including the AAA Consumer Rules where applicable. The arbitration will take place in New York. The arbitrator's decision will be final and binding, except where applicable law requires otherwise. By agreeing to arbitration, you waive the right to a jury trial.

Class action waiver: All arbitration proceedings will be conducted on an individual basis only. You may not bring or participate in any class action or representative proceeding against Strongsize.

Exceptions: Either party may seek relief in court without first arbitrating for: (a) claims to protect intellectual property rights; (b) claims involving theft, piracy, or invasion of privacy; and (c) requests for injunctive relief.

California Residents

If you are a California resident and have an unresolved complaint regarding the Site, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210. Miscellaneous

These Terms, together with our Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Strongsize. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of our right to do so in the future. We may assign our rights and obligations under these Terms at any time without restriction.
